1. Introduction and Acceptance

1.1 CREDAI 365 (the "Portal"), accessible at www.credai365.in and any related mobile application, is owned and operated by the Confederation of Real Estate Developers' Associations of India – Chennai Chapter, having its office at 8th Floor, 8E No. 526 (560-562), Century Plaza, Anna Salai, Thiru Vi Ka Kudiyiruppu, Teynampet, Chennai, Tamil Nadu 600018 ("CREDAI Chennai", "we", "us" or "our").

1.2 These Terms and Conditions ("Terms"), together with our Privacy Policy available at www.credai365.in/privacy, form a binding agreement between you and CREDAI Chennai. By accessing the Portal, entering your mobile number or clicking "I Agree", you confirm that you have read, understood and accepted these Terms.

1.3 If you do not agree with these Terms, please do not use the Portal.

1.4 These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not require any physical or digital signature.

2. Definitions

• "Member" or "Member Developer" means a real estate developer or company that is a member in good standing of CREDAI Chennai and has been given access to list on the Portal.
• "Public User" or "User" means any person who accesses the Portal to browse projects or member profiles, including by registering with a mobile number.
• "Listing" means any project details, company profile, images, brochures, floor plans, prices or other content uploaded by a Member.
• "Personal Data" has the meaning given under the Digital Personal Data Protection Act, 2023 ("DPDP Act"), and includes your name, mobile number, email address and property preferences.
• "Services" means all features offered through the Portal.

3. Eligibility, Registration and Access

3.1 You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use the Portal. By registering, you confirm that you meet this requirement.

3.2 Public Users access the Portal by entering their mobile number and verifying it through a One-Time Password ("OTP"). You confirm that the mobile number you provide belongs to you or that you are authorised to use it. You must not register using another person's number.

3.3 Members are given login credentials by CREDAI Chennai. Members are responsible for keeping their credentials confidential and for all activity carried out under their account.

3.4 You agree to provide accurate, current and complete information and to update it if it changes.

3.5 CREDAI Chennai may suspend or terminate any account, without prior notice, if it believes these Terms have been breached, the information provided is false, or the account is being misused.

3.6 Use of the Portal by Public Users is free of charge. CREDAI Chennai does not charge Public Users any fee for enquiries or for being connected with Members.

4. Personal Data, Consent and Sharing with Member Developers

4.1 Data we collect. When you use the Portal we may collect: your mobile number; your name and email address (if provided); your city or locality, budget, property type and other preferences; the projects and Members you view, save or enquire about; and technical data such as device type, IP address and usage logs.

4.2 Purpose. We collect and process your Personal Data to: (a) verify your identity through OTP; (b) show you relevant projects and Member profiles; (c) share your contact details and stated preferences with CREDAI Chennai Member Developers so that they may contact you about their projects, by phone call, SMS, WhatsApp or email, now and in the future; (d) send you updates from CREDAI Chennai, including property expos and events; and (e) improve and secure the Portal.

4.3 Your consent. By entering your mobile number, verifying the OTP and ticking the consent box on the Portal, you give free, specific, informed and unambiguous consent under the DPDP Act for the processing and sharing described in Clause 4.2. You expressly agree that Member Developers may contact you even if your number is registered on the National Do Not Call (DND) / National Customer Preference Register, for the purposes you have consented to.

4.4 Who we share with. Your data may be shared with: (a) the Member Developers whose projects or profiles you view or enquire about; (b) relevant Member Developers of CREDAI Chennai with projects matching your preferences; and (c) service providers who host or operate the Portal and send OTPs or messages on our behalf, under confidentiality obligations. We do not sell your Personal Data to any third party outside the CREDAI Chennai membership.

4.5 Member obligations on shared data. Members who receive your data are required to use it only to contact you about real estate projects, keep it secure, not sell or transfer it to others, and stop contacting you if you ask them to. Each Member is independently responsible for its own use of your data and its compliance with the DPDP Act and applicable telecom regulations.

4.6 Withdrawing consent. You may withdraw your consent at any time by writing to the Grievance Officer at the email address in Clause 10. Withdrawal is as easy as giving consent. After withdrawal we will stop sharing your data with Members and will inform Members who have already received it to stop contacting you. Withdrawal does not affect processing done before it.

4.7 Your rights. Subject to the DPDP Act, you have the right to: obtain a summary of your Personal Data and the Members it has been shared with; correct, complete or update it; request its erasure; nominate another person to exercise your rights in case of death or incapacity; and raise a grievance under Clause 10.

4.8 Retention. We keep your Personal Data only as long as needed for the purposes above, or as required by law, and then delete it. Data of inactive users will be deleted after 24 months of inactivity, with prior notice.

4.9 Security. We use reasonable security safeguards to protect your Personal Data. In the event of a personal data breach we will notify you and the Data Protection Board of India as required by law.

5. Member Listings and Obligations

5.1 Members are solely responsible for the accuracy, legality and completeness of all Listings and company profiles they upload, including prices, specifications, approvals, amenities, timelines and images.

5.2 Every project Listing that requires registration under the Real Estate (Regulation and Development) Act, 2016 must display its valid Tamil Nadu RERA (TNRERA) registration number and must comply with that Act and the rules and regulations made under it. Members must not list unregistered projects that require registration.

5.3 Members must not upload content that is false, misleading, defamatory, obscene, infringes any intellectual property, or violates any law, including the Consumer Protection Act, 2019 and its guidelines on misleading advertisements.

5.4 Members must hold all rights in the content they upload and grant CREDAI Chennai a non-exclusive, royalty-free licence to host, display, reproduce and promote that content on the Portal and in CREDAI Chennai communications.

5.5 Members shall use Public User data received through the Portal strictly as set out in Clause 4.5, act as data fiduciaries for that data in their own right, honour opt-out requests promptly, and comply with the DPDP Act and the Telecom Commercial Communications Customer Preference Regulations issued by TRAI.

5.6 Members shall indemnify CREDAI Chennai against any claim, loss or penalty arising from their Listings, their dealings with Public Users, or their misuse of Personal Data.

5.7 CREDAI Chennai may review, edit, refuse or remove any Listing, and may suspend a Member's access, if it believes the Listing or the Member's conduct breaches these Terms or the CREDAI Code of Conduct.

6. Role of CREDAI Chennai and Disclaimers

6.1 CREDAI Chennai is an industry association and acts only as a platform connecting Public Users with its Members. CREDAI Chennai is not a real estate agent or broker, is not a party to any transaction between you and a Member, and does not receive any commission on any sale.

6.2 All information on the Portal is provided by Members on an "as is" basis. CREDAI Chennai does not verify, endorse or guarantee any Listing, price, approval, title, quality of construction or delivery timeline. Images and plans may be artist's impressions.

6.3 Before making any booking or payment, you should independently verify all project details, including RERA registration on the TNRERA website, title documents and approvals, and seek professional legal and financial advice where needed.

6.4 Any agreement, payment, booking or dispute is solely between you and the Member concerned.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, CREDAI Chennai, its office bearers, employees and agents shall not be liable for any direct, indirect, incidental or consequential loss arising from: your use of or inability to use the Portal; any Listing or the acts or omissions of any Member; any communication you receive from a Member; or unauthorised access to data despite reasonable safeguards.

7.2 The Portal is provided on an "as available" basis. We do not guarantee that it will be uninterrupted or error-free.

7.3 You agree to indemnify CREDAI Chennai against any claim arising from your breach of these Terms or misuse of the Portal.

8. Intellectual Property

8.1 The Portal, the name and logo "CREDAI 365", the CREDAI Chennai name and logo, and the Portal's design, software and content (other than Member Listings) are the property of CREDAI Chennai or its licensors.

8.2 You may view the Portal for personal, non-commercial use only. You must not copy, scrape, reproduce, modify or distribute any part of it without our prior written permission.

9. Prohibited Use

You must not:

• provide false information or impersonate any person;
• use bots, scrapers or any automated means to access the Portal or extract data;
• harvest Member or User contact details for any purpose not allowed by these Terms;
• upload viruses or malicious code, or attempt to gain unauthorised access to the Portal;
• use the Portal for any unlawful, fraudulent or abusive purpose.

10. Grievance Redressal

In accordance with the Information Technology Act, 2000, the rules made under it, and the DPDP Act, CREDAI Chennai has appointed a Grievance Officer:

11. General

11.1 Changes to Terms. We may update these Terms from time to time. The updated version will be posted on the Portal with a revised "Last updated" date. Material changes affecting how your data is shared will be notified to you, and continued use after that means you accept the changes.

11.2 Governing law and jurisdiction. These Terms are governed by the laws of India. Subject to Clause 10, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction.

11.3 Severability. If any provision is held invalid, the rest of these Terms remain in force.

11.4 No waiver. Our failure to enforce any right is not a waiver of that right.

11.5 Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
